Terms of Service

1. Acceptance

By creating an account or using Aya (the "Service") you agree to these Terms of Service ("Terms"). If you are signing up on behalf of a business, you represent that you are authorized to bind that business.

2. What Aya does

Aya is an AI receptionist that answers inbound inquiries on your chat widget or hosted chat link, qualifies leads, captures contact details, and optionally books appointments. It relies on language models operated by third-party providers and on a knowledge base you configure.

3. Accounts and eligibility

• You must be at least 18 years old and legally capable of entering contracts.
• One business per account. Creating multiple accounts to evade plan limits is prohibited.
• You are responsible for keeping your credentials secure and for any activity under your account.
• We may require email verification before full access is granted.

4. Acceptable use

You agree not to:

• Use Aya to send unlawful, harassing, defamatory, or deceptive messages
• Provide medical, legal, or financial advice beyond informational content — Aya is not a licensed professional
• Upload knowledge that you do not have the right to share
• Abuse the service by scripted signups, automated message floods, or attempts to bypass rate limits or billing
• Reverse-engineer, scrape, or resell Aya without written permission
• Use Aya to process sensitive personal information (as defined by the Philippine Data Privacy Act §3(l)) without an appropriate lawful basis

5. AI disclaimer

Aya's responses are generated by machine-learning models and may contain inaccuracies, omissions, or outdated information. You are responsible for reviewing agent-generated replies in high-stakes contexts (emergencies, clinical questions, financial commitments). Aya may show "I'll have our team reach out" when it is uncertain — treat that as a signal to follow up manually.

6. Your content

You retain ownership of everything you upload: knowledge base content, business profile, branding, and the lead and conversation data generated through your account. You grant Aya a limited, non-exclusive license to host, process, and display that content for the sole purpose of operating the Service for you.

We do not use your content to train external AI models.

7. Trials, fees, and billing

• Aya offers a free trial. Trial accounts may be subject to usage caps and feature restrictions documented in-app.
• Paid plan pricing is listed on the pricing section. Fees are billed in advance and are non-refundable except where required by law.
• We may change pricing with at least 30 days' notice to active paying customers.
• Any third-party costs you incur outside Aya (SMS delivery, domain registration) are your responsibility.

8. Third-party services

Aya relies on Supabase, Vercel, OpenRouter, Resend, Semaphore, and Cloudflare to deliver the service. An outage or policy change by any of these providers can affect availability. We will make reasonable efforts to communicate material incidents.

9. Suspension and termination

We may suspend or terminate your account if you materially breach these Terms, abuse the Service, or create risk for other users. You may terminate at any time from your account settings or by emailing us. On termination, your data is deleted per the retention schedule in our Privacy Policy.

10. Warranties and disclaimers

Aya is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Aya's total cumulative liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the 3 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

12. Indemnification

You agree to indemnify Aya against third-party claims arising from (a) your misuse of the Service, (b) your violation of these Terms or applicable law, or (c) content you upload that infringes another party's rights.

13. Governing law

These Terms are governed by the laws of the Republic of the Philippines. Disputes will be submitted to the exclusive jurisdiction of the courts of Cebu City, Philippines, without prejudice to any applicable consumer-protection rights.

14. Changes

We may update these Terms as the Service evolves. Material changes will be announced in-app and by email at least 7 days before taking effect. Continued use after the effective date constitutes acceptance.
